12. General Terms

A. Waiver and Severability

The failure of WannaGo to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

B. Arbitration

Except for disputes relating to your or WannaGo's intellectual property (such as trademarks, trade dress, domain names, trade secrets, copyrights and patents), you agree that all disputes between you and WannaGo (whether or not such dispute involves a third party) with regard to your relationship with WannaGo, including without limitation disputes related to these Terms of Use, your use of the Service, and/or rights of privacy and/or publicity, will be resolved by binding, individual arbitration under the American Arbitration Association's rules for arbitration of consumer-related disputes and you and WannaGo hereby expressly waive trial by jury. As an alternative, you may bring your claim in your local "small claims" court, if permitted by that small claims court's rules. You may bring claims only on your own behalf. Neither you nor WannaGo will participate in a class action or class-wide arbitration for any claims covered by this agreement. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person's account, if WannaGo is a party to the proceeding. This dispute resolution provision will be governed by the Federal Arbitration Act. In the event the American Arbitration Association is unwilling or unable to set a hearing date within one hundred and sixty (160) days of filing the case, then either WannaGo or you can elect to have the arbitration administered instead by the Judicial Arbitration and Mediation Services. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms of Use. You may opt out of this agreement to arbitrate. If you do so, neither you nor WannaGo can require the other to participate in an arbitration proceeding. To opt out, you must notify WannaGo in writing within 30 days of the date that you first became subject to this arbitration provision. You must use this address to opt out:

WannaGo, LLC
ATTN: Arbitration Opt-out
9420 Wilshire Blvd, 4th Floor,
Beverly Hills, CA 90212.

You must include your name and residence address, the email address you use for your WannaGo account, and a clear statement that you want to opt out of this arbitration agreement.

If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration section will be null and void. This arbitration agreement will survive the termination of your relationship with WannaGo.

C. Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of California without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in the federal or state courts located in Los Angeles County, California, United States, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

If you are a federal, state, or local government entity in the United States using the Services in your official capacity and legally unable to accept the controlling law, jurisdiction or venue clauses above, then those clauses do not apply to you. For such U.S. federal government entities, these Terms and any action related thereto will be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of California (excluding choice of law).

You may use your account settings to unsubscribe from notifications from WannaGo. We may use your contact information, including our email address, to help others find your WannaGo account, including through third-party services and client applications. You may choose to upload your address book so that we can help you find WannaGo users you know. We may later suggest people to follow on WannaGo based on your imported address book contacts. If you email us, we may keep your message, email address and contact information to respond to your request. If you connect your WannaGo account to your account on another service in order to cross-post between WannaGo and that service, the other service may send us your registration or profile information on that service and other information that you authorize. This information enables cross-posting and helps us improve the Services.

Following, GoList and other Public Information: Most of the information you provide us is information you are asking us to make public. This includes your posts, your GoList, the people you follow, the places you mark as Loved It or WannaTry, and many other bits of information that result from your use of the Services. Our default is almost always to make the information you provide public for as long as you do not delete it from WannaGo, but we generally give you the option to make the information more private if you want. Your public information is broadly and instantly disseminated. For instance, your public user profile information and public posts may be searchable by search engines and may be delivered via SMS or other means to a wide range of users and services. When you share information or content like photos, comments, and links via the Services, you should think carefully about what you are making public.

Analytics information:

We use third-party analytics tools to help us measure traffic and usage trends for the Service. These tools collect information sent by your device or our Service, including the web pages you visit, add-ons, and other information that assists us in improving the Service. We collect and use this analytics information with analytics information from other Users so that it cannot reasonably be used to identify any particular individual User.

Location Information: You may choose to publish your location in your posts and in your WannaGo profile. You may also tell us your location when you enable your computer or mobile device to send us location information. You can set your location preferences in your account settings. We may use and store information about your location to provide features of our Services, such as the name and address of a location you post, and to improve and customize the Services.

Links: WannaGo may keep track of how you interact with links across our Services, including our email notifications, third-party services, and client applications, by redirecting clicks or through other means. We do this to help improve our Services, to provide more relevant advertising, and to be able to share aggregate click statistics such as how many times a particular link was clicked on.

Cookies: Like many websites, we use cookies and similar technologies to collect additional website usage data and to improve our Services, but we do not require cookies for many parts of our Services such as searching and looking at public user profiles or lists. A cookie is a small data file that is transferred to your computer's hard disk. WannaGo may use both session cookies and persistent cookies to better understand how you interact with our Services, to monitor aggregate usage by our users and web traffic routing on our Services, and to customize and improve our Services. Most Internet browsers automatically accept cookies. You can instruct your browser, by changing its settings, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. However, some Services may not function properly if you disable cookies.

Log Data: Our servers automatically record information ("Log Data") created by your use of the Services. Log Data may include information such as your IP address, browser type, operating system, the referring web page, pages visited, location, your mobile carrier, device and application IDs, search terms, and cookie information. We receive Log Data when you interact with our Services, for example, when you visit our websites, sign into our Services, interact with our email notifications, use your WannaGo account to authenticate to a third-party website or application, or visit a third-party website that includes a WannaGo button or widget. WannaGo uses Log Data to provide our Services and to measure, customize, and improve them. If not already done earlier, for example, as provided below for Widget Data, we will either delete Log Data or remove any common account identifiers, such as your username, full IP address, or email address, after 18 months.

Third-Parties: WannaGo uses a variety of third-party services to help provide our Services and to help us understand the use of our Services. These third-party service providers may collect information sent by your browser as part of a web page request, such as cookies or your IP address. Third-party ad partners may share information with us.

14. Information Sharing and Disclosure

Your Consent: We may share or disclose your information at your direction, such as when you authorize a third-party web client or application to access your WannaGo account.

Service Providers: We engage service providers to perform functions and provide services to us in the United States and abroad. We may share your private personal information with such service providers subject to confidentiality obligations consistent with this Privacy Policy, and on the condition that the third parties use your private personal data only on our behalf and pursuant to our instructions.

Law and Harm: Notwithstanding anything to the contrary in this Policy, we may preserve or disclose your information if we believe that it is reasonably necessary to comply with a law, regulation or legal request; to protect the safety of any person; to address fraud, security or technical issues; or to protect WannaGo's rights or property. However, nothing in this Privacy Policy is intended to limit any legal defenses or objections that you may have to a third party's, including a government's, request to disclose your information.

Business Transfers: In the event that WannaGo is involved in a bankruptcy, merger, acquisition, reorganization or sale of assets, your information may be sold or transferred as part of that transaction. The promises in this Privacy Policy will apply to your information as transferred to the new entity.

Non-Private or Non-Personal Information: We may share or disclose your non-private, aggregated or otherwise non-personal information, such as your public user profile information, the people you follow or that follow you, or the number of users who clicked on a particular link (even if only one did).

Third Parties: We also may share your information as well as information from tools like cookies, log files, and device identifiers and location data, with third-party organizations that help us provide the Service to you ("Service Providers"). Our Service Providers will be given access to your information as is reasonably necessary to provide the Service under reasonable confidentiality terms. We may also share certain information such as cookie data with third-party advertising partners. This information would allow third-party ad networks to, among other things, deliver targeted advertisements or special offers that they believe would be of most interest to you. We may remove parts of data that can identify you and share anonymized data with other parties. We may also combine your information with other information in a way that it is no longer associated with you and share that aggregated information.

Parties with whom you may choose to share your User Content:

Any information or content that you voluntarily disclose for posting to the Service, such as User Content, becomes available to the public, as controlled by any applicable privacy settings that you set. To change your privacy settings on the Service, please change your profile setting. Once you have shared User Content or made it public, that User Content may be re-shared by others. Subject to your profile and privacy settings, any User Content that you make public is searchable by other Users. If you remove information that you posted to the Service, copies may remain viewable in cached and archived pages of the Service, or if other Users or third parties have copied or saved that information.

Modifying Your Personal Information:

If you are a registered user of our Services, there are account settings to access or modify the personal information you provided to us and associated with your account. When your account is deactivated, it is not viewable on WannaGo.com.

15. Our Policy Towards Children

Our Services are not directed to persons under 13. If you become aware that your child has provided us with personal information without your consent, please contact us at privacy@WannaGo.com.

16. Changes to this Policy

We may revise this Privacy Policy from time to time. If we make a change to this policy that, in our sole discretion, is material, we will notify you via an email to the email address associated with your account. By continuing to access or use the Services after those changes become effective, you agree to be bound by the revised Privacy Policy.
